What is a record sheet in the Unified State Register of Legal Entities and what is the difference between it and an extract from the Unified State Register of Legal Entities

The Unified State Register of Legal Entities is a database maintained by state tax authorities. It contains basic information about organizations that operate in the Russian Federation. Registration date, information about legal form, management, types of activities, etc. Obtaining data from the register is necessary for any legal or to an individual who want to make sure that their counterparty really exists.

The use of the register is regulated by:

  • orders of the Ministry of Finance, and others.

In particular, according to Law No. 129-FZ, the Federal Tax Service provides:

  • recording sheets;
  • extracts from the register;
  • copies of documents;
  • certificates confirming the absence of the information requested.

The law specifically stipulates that there is a record sheet in the Unified State Register of Legal Entities (Clause 3, Article 11 of Law No. 129-FZ). The tax office issues it to the company when it registers in the register or makes changes to a previous entry. The department has approved the form of the document, this is form No. P50007 (order of the Federal Tax Service).

The difference between a record sheet and an extract from the Unified State Register of Legal Entities is that they are issued:

  1. In different situations. The extract contains summary information about the company at the time of issue. It reflects the history of the company, changes in its documents and economic life. An entry sheet in the Unified State Register of Legal Entities is a document that confirms that the company has been registered, or informs what changes have been made to the register.
  2. To different persons. Any organization or citizen can request an extract from the company. The tax office issues a registration sheet only to the company that registered or made changes.
  3. In different forms. The extract form was approved in Appendix 2 to the Administrative Regulations for the provision of information to the Federal Tax Service (approved). The Federal Tax Service indicated in order No. ММВ-7-14/481@ what the entry sheet in the Unified State Register of Legal Entities should look like.

How and where to obtain a record sheet for making changes to the Unified State Register of Legal Entities

The entry sheet in the Unified State Register of Legal Entities contains data on the registration of a company or changes to its accounting information. It is issued by the Federal Tax Service. This document includes:

  • Name of the organization;
  • OGRN;
  • description of the information entered into the register;
  • date of entering information;
  • data on who, on the part of the Federal Tax Service, recorded the information in the Unified State Register of Legal Entities.

Please note that from April 29, 2018, the Federal Tax Service issues registration sheets in the Unified State Register of Legal Entities and other documents only in in electronic format. Each document is certified by tax authorities with enhanced qualified electronic signature. To obtain confirmation on paper that a document has been issued, a separate request will be required. It is best to send it along with the documents submitted when registering information in the register.

A company may need a registration sheet in the Unified State Register of Legal Entities in court to prove the completion of specific registration actions, for example:

  • amendment of the constituent document,
  • entering information about the new director,
  • change of official address,
  • change of owner of the share in the business, etc.

The issuance period depends on the circumstances

Receiving a Unified State Register of Legal Entities sheet will not take much time. The tax office that made the change to the register will itself send it no later than the next day from the date of registration of the change (Clause 3, Article 11 of Law No. 129-FZ).

If the sheet is needed again, the inspection will issue the document in accordance with the Administrative Regulations, depending on the urgency (clause 18):

  • no later than 1 day after the date of receipt of the request for the document (urgent provision);
  • no later than 5 days in the usual case (clause 3 of article 6 of law No. 129-FZ).

The state fee for the Unified State Register of Legal Entities is not charged separately.

Tax authorities do not charge a fee for issuing a document confirming changes to the Unified State Register of Legal Entities. But for making the changes itself, the organization must pay a state fee of 800 rubles. (Subclause 3, Clause 1, Article 333.33 of the Tax Code of the Russian Federation).

If the tax office has not issued an entry sheet in the Unified State Register of Legal Entities, contact a higher authority or court

Obtaining information from the register sometimes results in a dispute with the tax authorities. The parties resolve some situations at the pre-trial level. For example, there are cases of violation of the deadlines for issuing entry sheets in the Unified State Register of Legal Entities. Usually, when this happens, companies file complaints with higher tax authorities and only then go to court. It is often better to wait a while or have the request approved by the governing inspectorate. Tax authorities avoid transferring obviously losing cases to court (for example, when the deadlines are expressly established by law and there are all grounds for registration). But at the same time, a number of disputes are referred to arbitration courts.

Thus, the organization requested to oblige the Federal Tax Service to carry out a number of registration actions and make changes to the register. The tax authority had previously rejected the company because its officials had not registered the decision to increase capital with a notary. Accordingly, the registration sheet in the Unified State Register of Legal Entities was not issued. The courts of the first and appellate instances agreed that the Federal Tax Service applied the rules of law that came into force after the decision was made by the participants. When registering changes, it is necessary to use the legislation at the time of the fact. economic activity. As a result, the company won the case in all three instances. The court ordered the tax office to register the changes and issue a record sheet in the Unified State Register of Legal Entities ().

Legal regulation of the procedure for providing information from the Unified State Register of Legal Entities is carried out through the following regulations:

    Law of 08.08.2001 No. 129-FZ (Articles 6, 7);

    Government Decree No. 462 dated May 19, 2014;

    Order of the Ministry of Finance dated October 30, 2017 No. 165n;

    Order of the Ministry of Finance dated January 15, 2015 No. 5n;

    Order of the Federal Tax Service dated September 12, 2016 No. ММВ-7-14/481@.

Unified State Register of Legal Entities – what is it?

Record sheets from the unified state database of legal entities registered with the Federal Tax Service are an analogue of state registration certificates for enterprises. This form has replaced paper registration certificates since 2017. The Unified State Register of Legal Entities, a sample of it, was approved by Order No. ММВ-7-14/481@. The document is drawn up according to form template No. P50007.

The differences between a record sheet and an extract from the Unified State Register of Legal Entities are that the extract is intended to show the full range of available data about the enterprise and the history of their changes, and the record sheet confirms the very fact of making changes to the register. That is, when filling out a company card in the Unified State Register of Legal Entities for the first time, the entry sheet will display the data entered initially. If the company's address or any other parameter changes in the future, this data will be updated in the register, and the new record sheet will contain information about the latest adjustments.

The sheet for recording changes in the Unified State Register of Legal Entities contains the following set of information:

    name of the legal entity without abbreviations;

    OGRN number;

    the essence of the latest registration actions (the nature of changes in the enterprise card in the registry);

    date of making adjustments to the company data in the Unified State Register of Legal Entities;

    information about the Federal Tax Service department that made changes to the database;

    information by which the official who registered the updated data about the company can be identified.

Is the Unified State Register of Legal Entities issued once and for all?

Enterprise managers know that registering a Company is a complex procedure with its own set of requirements and a certain package of documents that must be drawn up and submitted, and then receive confirmation of the creation of the company. Until January 1, 2017, a new or already registered company was issued certificate of entry into the Unified State Register of Legal Entities. Now the document is not processed by the Federal Tax Service and is not issued in person. Instead, confirmation of registration is the “Unified State Register of Legal Entities” (form P50007).

What is a certificate of entry into the Unified State Register of Legal Entities?

The document was an official record confirming the registration of a legal entity. The certificate was secured with a seal, signature and a security sign against forgery of the form. The document was issued to the manager or his representative after changes were made to the information about the legal entity in the register.

The certificate was issued only in paper form and did not contain detailed information about the amendments made, therefore a mandatory appendix to it was the Unified State Register of Legal Entities.

It turns out that an officially executed document is extra paper, which complicates the process of registering changes to company data in the register. By removing it, the process of obtaining supporting documents about amendments made should become simpler and faster. The procedure for registering changes remains unchanged and is carried out in accordance with Federal Law No. 129.

Data from the certificate of entry into the Unified Legal Entity received before January 1, 2017

Unified State Register of Legal Entities Certificate was the main document confirming the fact that the company was included in the tax service register. The organization was assigned a number (OGRN) and the following information was listed:

  • full name;
  • abbreviation of the name of the organization (abbreviated name);
  • company name;
  • date of assignment of the main number;
  • place of registration and issue (tax department);
  • signature, seal of the Federal Tax Service.

The document was necessarily accompanied by a Record Sheet, which now has an up-to-date form and is used instead of a certificate. Official forms issued before 2017 do not need to be thrown away; they have legal force and can be used in everyday activities when concluding contracts or at the request of counterparties, if after their receipt the company did not take measures to make changes to the company’s information.

What documents does the Federal Tax Service issue when registering or making changes to the Unified State Register of Legal Entities?

Since 2017, all registered companies, as well as companies that had to make changes to their data, are issued the following documents:

  • State Register of Legal Entities (form P50007).
  • A copy of the Charter, certified by the Federal Tax Service. The second copy remains with the tax service.
  • Certificate of registration for managers who have written an application to register their company.

    Record sheet of the Unified State Register of Legal Entities

    Printed on a regular sheet of paper without security marks.

Firms that want to make changes to the Charter or the register must fill out an application in form P14001 or P13001, and also provide minutes of the meeting where the decision to change the information was made. Regardless of the situation, the state fee must be paid in the prescribed amount (Federal Law No. 117).

Why was the document confirming the company’s registration in the Unified State Register of Legal Entities canceled?

There are several versions of the reasons why the cancellation was made. According to official data (from Order No. ММВ7-14/481@ dated September 12, 2016), the form was canceled in order to increase the efficiency of document circulation between the Federal Tax Service and interested parties. In other words, the registration certificate and the registration document duplicated the information, so they decided to cancel the P51003 form. In addition, the record sheet, like the certificate of incorporation, equally confirms the establishment of the company or emerging changes in it.

Another reason why this form has been discontinued is to eliminate confusion. The old system required a certificate to be issued every time a company announced new changes in its information. The tax service had no choice but to re-register and issue a new registration certificate. Now, after the changes have been made, only the Record Sheet will be reissued.

In what form can I obtain a certificate of entry into the Unified State Register of Legal Entities in 2018?

Changes to information about the organization will now be indicated only in the Unified State Register of Legal Entities. The document was an addition to the certificate and was its integral part, carrying important information.

Since 2017, the form has been supplemented and revised. Came out new order on the entry into force of the Record Sheet for legal entities and individual entrepreneurs (ММВ7-14/481@ dated 09/12/2016).

Not used for document letterhead Federal Tax Service. The Unified State Register of Legal Entities is printed on plain paper without a security mark. In this case, the document can be received in electronic or paper form at the request of the head of the enterprise. The validity period is unlimited.

A copy of the recording sheet must be certified by a notary office. Otherwise, the document will not have legal force.

Information about the organization specified in the entry sheet in the Unified State Register of Legal Entities

If we compare the old and new uniform form, then we can come to the conclusion that they are identical. The sheet contains the following items:

  • Full name of the legal entity. The Sheet does not provide information about the short and company name of the legal entity, which was previously in the Certificate.
  • OGRN. The number is assigned by the tax service and consists of 13 digits. Contains information about the date of issue, place of registration (subject) and assignment (inspection code). At the end of the number there is a check number.
  • Information about making an entry in the Unified State Register of Legal Entities (registration or change of information).
  • Date the information was entered into the register.
  • GRN. Assigned every time changes are made to information about the company.
  • Table with the name and value of the indicator. The amendments are listed here, indicating the item and reasons for the changes.

Below is information about the tax authority that issued the document and the date of issue. It is confirmed by the signature and seal of the Federal Tax Service department. The deadline for making changes to the register is 1 day from the date of receipt of the package of documents and the consent of the tax authority to include amendments to the information.

Attention! If the organization has changed its address, the tax authority sends the documents to another division at the new company registration address.

Relevance of a copy of the certificate of entry into the Unified State Register of Legal Entities

Previously issued certificates can be used if, after their receipt, no other changes were made to the Charter and information about the legal entity. If something has changed in the organization since 2017, the Unified State Register of Legal Entities will replace the previously issued certificate.

If the counterparty demands to submit a document in form P51003, the organization has the right to refuse it, using the expired order MMV-7-6/843@ and the existing order MMV-7-14/481 in its place.

The changes made since 2017 cancel the Certificate of Amendments to the Unified State Register of Legal Entities. The decision was officially approved by the Order. Eliminating the unnecessary form simplifies the registration or amendment procedure, thereby making the work of the tax authorities easier.

According to which the currently valid forms for companies appeared, and a number of other changes occurred. Including - they stopped issuing after registration actions with the company, and from the Unified State Register of Entrepreneurs after registration actions with the individual entrepreneur. Instead, they began to issue Record Sheets, for individual entrepreneurs - a Record Sheet from the Unified State Register of Individual Entrepreneurs.

What it is
A record sheet from the Unified State Register of Individual Entrepreneurs is a sheet printed in A4 format in the form of a table according to the established form P60009. It was established by Order of the Federal Tax Service of Russia dated September 12, 2016 N ММВ-7-14/481@:

Difference from the certificate and extract from the Unified State Register of Individual Entrepreneurs

The USRIP entry sheet is practically no different in functionality. It actually replaced the Certificate of Registration of Individual Entrepreneurs and the Extract from the Unified State Register of Individual Entrepreneurs. In fact, after registration actions with an individual entrepreneur, a Record Sheet is issued from the Unified State Register of Individual Entrepreneurs indicating a specific change, and the Extract generally shows the entire history of the individual entrepreneur, of course, without indicating his personal data. With personal data only for government agencies upon special request. In the end, it was decided to abolish the certificates altogether, apparently in order to save on secure forms.

Charter and other corporate documents of the LLC. We lost the certificate of amendments and the recording sheet, registration of a duplicate. Restoration of the Unified State Register of Legal Entities.

Question: In October 2016, our organization submitted an application to the Federal Tax Service to amend the Unified State Register of Legal Entities and added another type of activity. We received a certificate of amendment and a registration sheet by mail, but lost it, now we want to issue a duplicate. Please tell us: 1. In a free-form application to the tax office, should we request a duplicate of the Certificate and Record Sheet, or are they now not giving duplicate certificates of changes in information and are only issuing sheets?2. Can we request 3 duplicate copies?3. Do I need to pay a state fee for issuing a duplicate of the Record Sheet or is it free?

Answer: Since July 4, 2013, the Entry Sheet of the Unified State Register of Legal Entities is a document confirming the fact of entering information about a legal entity (except for information about creation) into the Unified State Register of Legal Entities (including on the reorganization and liquidation of a legal entity).

Previously, this fact was confirmed by a Certificate of entry into the Unified State Register of Legal Entities.

The Unified State Register of Legal Entities (USRLE) entry sheet contains information about the legal entity (full name, OGRN), as well as data on changes made (including state registration number and date of entry).

The Unified State Register of Legal Entities confirms the fact of making changes to the Unified State Register of Legal Entities or constituent documents.

To restore the Unified State Register of Legal Entities, you must submit a request (application) to the registration authority in any form. The procedure is the same as when requesting an extract from the Unified State Register of Legal Entities. There is no need to pay state duty, because This document is not named in Article 333 of the Tax Code of the Russian Federation. The number of required copies of the Record Sheet (form P50007) must be indicated in the application.

Rationale

Charter and other corporate documents of the LLC

If a company made changes to the Unified State Register of Legal Entities or the charter, then in each case it was given a Unified State Register of Legal Entities sheet in form No. P50007 or, until July 4, 2013, a certificate of making an entry in the Unified State Register of Legal Entities. The company must have as many certificates or sheets of record as the number of times changes were made to the constituent documents or the Unified State Register of Legal Entities.

In the certificates that were issued before July 4, 2013, the entries differed depending on where the changes were made - only in the Unified State Register of Legal Entities or in the charter and the Unified State Register of Legal Entities.

Option 1. Changes were made only to the Unified State Register of Legal Entities. Then the certificate must contain the following wording: “This is to confirm that... a record of amendments has been made to the Unified State Register of Legal Entities... not related to amendments to the constituent documents…».

Option 2. Changes were made to the charter and the Unified State Register of Legal Entities (it is impossible to make changes only to the charter - without changes to the Unified State Register of Legal Entities). Then the certificate must contain the following wording: “This is to confirm that... an entry has been made in the Unified State Register of Legal Entities state registration changes, included in the constituent documents legal entity…".
